Keoxs AIO — Terms of Service
Keoxs AIO is operated by Scalerify Management LLC
These Terms of Service ("Terms") govern your access to and use of the Keoxs AIO platform available at keoxs.com (the "Platform"), operated by Scalerify Management LLC, a Delaware limited liability company operating from Miami, Florida ("Company," "we," "us," or "our"). By creating an account, running a Free Forensic Audit, or subscribing, you ("Customer," "you") agree to these Terms.
These Terms apply to the Keoxs AIO software platform only. The professional services offered at agenticfba.com (the Scoping Sprint, the Embedded Sprint, and ongoing work) are governed by their own Terms of Service. Keoxs Co-pilot is a separate open-source project governed by the license published in its repository.
01 The Platform
Keoxs AIO is a software-as-a-service listing optimization platform for Amazon sellers. Depending on your plan, the Platform provides: an AI visibility score (semantic coverage and COSMO knowledge-graph mapping); competitor semantic analysis; optimization tools covering title structure, bullet extraction, attribute completion, FAQ, image semantic consistency, and A+ content; and score tracking over time. Outputs are generated by an AI pipeline using third-party models (including Anthropic Claude, Google Gemini, and Meta Llama) and are provided as recommendations for you to review and apply.
02 Beta / Early Access
The Platform is currently offered in an early-access phase. You acknowledge that: features may be added, changed, or removed; occasional interruptions, errors, or inaccurate outputs may occur; no service-level agreement (SLA) or uptime commitment is provided; and early-access pricing may change with at least thirty (30) days' notice before your next renewal. We will identify clearly when the Platform exits early access. This Section does not limit your cancellation right under Section 07.
03 Accounts & Eligibility
You must provide accurate registration information, keep your credentials confidential, and be at least 18 years old and using the Platform for business purposes. You are responsible for all activity under your account. One account per user; team seats, where offered, may not be shared beyond the subscribed number.
04 Free Forensic Audit
The Free Forensic Audit lets anyone submit a public ASIN and receive an instant AI visibility score without creating an account. It is provided free of charge, "as is," for evaluation purposes only, with no warranty and no client relationship created. We may rate-limit or modify the free audit at any time.
05 Amazon Connection (SP-API)
Where you connect your Amazon account, the connection is made exclusively through Amazon's official Selling Partner API (SP-API) authorization flow, in compliance with Amazon's Business Solutions Agreement and Data Protection Policy. We never ask for, transmit, or store your Seller Central login credentials or passwords. You may revoke the Platform's authorization at any time from Seller Central; revocation disables the connected features but does not by itself cancel your subscription. We access only the data scopes necessary to provide the Platform's features and handle all Amazon data in accordance with Amazon's policies and our Privacy Policy.
06 Subscriptions, Fees & Payment
Paid plans are billed as monthly subscriptions, in advance, starting at the price displayed at keoxs.com (currently from $49/month). Payments are processed by Stripe; we do not receive or store full payment card numbers. Your subscription renews automatically each month until cancelled. Fees are exclusive of applicable taxes. Price changes take effect at your next renewal, with at least thirty (30) days' prior notice.
07 Cancellation & Refunds
You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current monthly billing period: you keep access until then, and no further payments are charged. Fees already paid are non-refundable, and partial months are not prorated. The Free Forensic Audit and any free tier let you evaluate the Platform before subscribing. Nothing in this Section limits non-waivable rights under applicable consumer protection law, or refunds we choose to grant for extended verified outages during early access.
08 Acceptable Use
You agree not to: (a) reverse engineer, scrape, or copy the Platform, its scoring methodology, or its outputs at scale; (b) resell, sublicense, or provide the Platform to third parties as a service bureau without our written agreement; (c) use the Platform to violate Amazon's terms or policies, or any applicable law; (d) submit content that is unlawful or infringes third-party rights; (e) probe, disrupt, or overload the Platform or circumvent rate limits and plan limits; or (f) use outputs to create false, misleading, or unsubstantiated product claims. We may suspend accounts that breach this Section, with notice where practicable.
09 Your Data & AI Processing
Your content. You retain all rights to the data you submit (ASINs, listing content, product information, Amazon data exports, SP-API data). You grant us a limited license to process it solely to provide the Platform.
AI processing. Your submitted data is processed by third-party AI model providers (Anthropic, Google, hosted Meta Llama deployments) solely to generate your outputs. We do not permit these providers to use your data to train their models where the provider offers that control.
Aggregated data. We may use anonymized, aggregated data (e.g., score distributions across categories) to improve the Platform; this data cannot identify you, your brand, or your ASINs' association with you.
Amazon data. Data received via SP-API is used, retained, and deleted in accordance with Amazon's Data Protection Policy.
Details, including retention and your privacy rights, are in the Privacy Policy. Business customers requiring a data processing agreement may execute our DPA.
10 Outputs, No Guarantee of Results
Platform outputs — scores, analyses, and rewritten content — are AI-generated recommendations, not statements of fact and not a promise of marketplace results. We guarantee no ranking, traffic, conversion rate, sales figure, or level of AI recommendation; those outcomes are determined by Amazon and by market conditions. You are solely responsible for reviewing outputs before use and for the accuracy and regulatory compliance of every claim you publish, particularly in regulated categories (supplements, health, beauty, food). Scores are measurements produced by our methodology and may change as the methodology evolves.
11 Intellectual Property
We own the Platform, its software, scoring methodology, models' orchestration, branding, and all improvements. You own the specific listing content outputs generated for you from your inputs, once your subscription fees are paid. Feedback you provide may be used to improve the Platform without obligation. No rights are granted except as expressly stated in these Terms.
12 Third-Party Services
The Platform depends on third-party services (Amazon SP-API, AI model providers, Stripe, cloud infrastructure). We are not responsible for their availability or acts; if a third-party dependency materially degrades the Platform, we will use reasonable efforts to restore or substitute functionality.
13 Disclaimer of Warranties
Except as expressly stated in these Terms, the Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that outputs will be accurate or complete.
14 Limitation of Liability
To the maximum extent permitted by law: (a) we are not liable for indirect, incidental, consequential, special, or punitive damages, or lost profits, revenue, or data; (b) we are not liable for account suspensions, listing suppressions, or other losses arising from Amazon's decisions, policy enforcement, or algorithm changes, or from your use of outputs; and (c) our total aggregate liability arising out of or relating to the Platform shall not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim (or $49 if you have paid no fees).
15 Indemnification
You will indemnify and hold us harmless from third-party claims arising out of content you publish (including product claims), your violation of Amazon's terms or applicable law, or your breach of these Terms.
16 Suspension & Termination
We may suspend or terminate your account for material breach of these Terms (including non-payment) after notice and, where curable, a 10-day cure period — or immediately for abuse threatening the Platform or other customers. Upon termination: your access ends, SP-API authorizations are disconnected, and your data is deleted or exported in accordance with the Privacy Policy. Sections 09–15 and 17–19 survive termination.
17 Independence
Scalerify Management LLC and Keoxs AIO are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates, nor by Anthropic, Google, or Meta. All trademarks belong to their respective owners. The Platform provides software tooling only — not legal, tax, financial, or investment advice.
18 Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
19 General
We may update these Terms; material changes will be notified by email or in-app notice at least fifteen (15) days before taking effect, and continued use after the effective date constitutes acceptance — if you disagree, cancel before the change takes effect. If any provision is held unenforceable, the remainder stays in effect. These Terms, the Privacy Policy, and (where executed) the DPA form the entire agreement regarding the Platform. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale.
